از آنجا که سود سالانه شرکت به دو بخش تقسیم مى‌گردد، یعنى بخشى از آن به‌عنوان سود به صاحبان سهام داده مى‌شود و بخشى از آن به حساب سود انباشته منظور مى‌گردد، هیئت مدیره مى‌تواند سیاست‌هاى مربوط به تقسیم سود را به‌عنوان یک راهنما مورد استفاده قرار دهد. پرداخت سود سهام به صاحبان سهام عادى یکى از راه‌هائى است که شرکت مى‌تواند بدان‌وسیله مستقیماً بر ثروت سهامداران اثر گذارد. بنابراین، هدف از اجراء چنین سیاستى تعیین نقشى است که آن سیاست در به حداکثر رسانیدن ثروت سهامداران ایفاء مى‌کند. از آنجا که سیاست تقسیم سود تحت‌تأثیر عوامل متعددى قرار مى‌گیرد، پرداخت تمام سود به سهامداران به معنى به حداکثر رسانیدن ثروت سهامداران نخواهد بود. این سیاست تقسیم سود که براساس آن آنچه از سود سالانه شرکت باقى مى‌ماند بین سهامداران تقسیم خواهد شد، باعث خواهد شد که بین میزان سود تقسیمى و ارزش شرکت هیچ رابطه معقول و منطقى وجود نداشته باشد. باید سیاست تقسیم بر این اساس تدوین گردد که آن میزان از سود شرکت که براساس ساختار سرمایه مطلوب مورد نیاز نیست به سهامداران پرداخت گردد. نتیجه پیروى از این سیاست این خواهد شد که سودى را که سهامداران دریافت خواهند کرد در سال‌هاى متوالى تغییر زیادى خواهد کرد.
