قراردادی که برخی از جنبه‌های آن تصریح نشده باشد ناقص است. ناقص بودن قرارداد سبب کاهش اثر بخشی قرارداد می‌شود. قرارداد ناقص همانند قانون ناقص است و بحث بر سر این مطلب است که در مقام بروز اختلاف فی‌مابین تنظیم‌کنندگان قرارداد ناقص، تکلیف مراجع قضایی چیست و قرارداد را باید چگونه و به چه طریقی تفسیر کنند تا به مقصود واقعی طرفین دست یابند. در این صورت دادرس باید با تجسس در مجموع مفاد قرارداد و اوضاع و شروط بنایی، قصد طرفین را احراز و با برطرف کردن نقص قرارداد فصل خصومت کرده و به اختلاف حاصله فیصله بدهد و مثلاً اگر طرفین نسبت به اصل بیع با همدیگر توافق کرده باشند ولی سایر شرایط اعم از زمان و مکان تسلیم مبیع و تأدیه ثمن و امثال آن را ذکر نکرده باشند، در این صورت مقررات مذکور حاکم بر قرارداد بیع خواهد بود.
